3. Payment Terms

Payment schedules are outlined in individual project agreements. Late payments may incur fees. We reserve the right to suspend services for overdue accounts. All prices are exclusive of applicable taxes unless stated otherwise.

4. Intellectual Property

Upon full payment, clients own the final deliverables. We retain rights to our proprietary tools, frameworks, and methodologies. Third-party licenses and ongoing subscriptions remain separate obligations.

5. Warranties and Limitations

We provide services with professional care but cannot guarantee specific business outcomes. Our liability is limited to the project value. We are not responsible for third-party service interruptions or data breaches beyond our control.

Additional Terms

6. Confidentiality

We maintain strict confidentiality of all client information and business data. Both parties agree not to disclose confidential information to third parties without written consent.

7. Project Changes

Scope changes require written approval and may affect timelines and costs. We provide change estimates before implementation. Emergency support outside business hours may incur additional charges.

8. Termination

Either party may terminate with 30 days written notice. Clients remain responsible for work completed and expenses incurred. Upon termination, we will provide deliverables for paid work and return client materials.

9. Support and Maintenance

Post-launch support terms are specified in individual agreements. We offer various maintenance packages for ongoing updates, security patches, and technical support.

10. Governing Law

These terms are governed by local jurisdiction laws. Any disputes will be resolved through professional mediation before legal proceedings.
